(Hereinafter referred to as the “Service provider”)

(Hereinafter referred to as the “Client”)
1. SCOPE OF SERVICES
The Service Provider shall provide recruitment and staffing services to the Client. This includes:
- Sourcing, shortlisting, and scheduling candidates
- Resume verification and background checks
- Interview coordination and selection assistance
- Optional HRMS, Payroll & Compliance services
2. FEE STRUCTURE
The following applies for successful hires, payable within 60 days of the candidate’s joining:

5. ADDITIONAL SERVICES

- HRMS dashboard & payroll (via SumHR)
6. HRMS PLANS (Coming Soon)
Once launched, HRMS options will include:
- Single Employer
- Single Employer + 2 Branches
- Silver Elite (4 branches)
All HRMS plans include:
- Dedicated HR Manager
- End-to-end Payroll
- 50% discount on Skill Development Programs
- 10% off for new clients, and 2 months free for annual clients
7. LEARNING & DEVELOPMENT (L&D) COURSES
- Access to L&D programs may be bundled into paid packages or offered as an add-on.
- AGK is not liable for course completion, certification delays, or future employment tied to any course outcome.
- Course fees are non-refundable once access is granted or batch is assigned.
- Any internship, placement, or certification support tied to L&D is best-effort only and not guaranteed.
8. LIABILITY LIMITATIONS
The Service Provider is not liable for:
- Any employment guarantee or job continuity after hiring
- Time delays in hiring due to market or candidate conditions
- Post-employment issues or retention beyond 3 months from candidate joining
- Any free services or paid add-ons that fail due to external dependencies (e.g. BGV providers, course partners)
9. TERM AND TERMINATION
- Term: This Agreement shall remain in effect for a period of three (3) years from the effective date unless terminated earlier.
- Termination: Either party may terminate the agreement by giving 30 days’ written notice.
- Survival: Sections related to fees, confidentiality, and indemnification shall survive termination.
10. CONFIDENTIALITY
Both parties shall protect and not disclose confidential information acquired during the partnership unless legally required.
11. INDEMNIFICATION
Each party shall indemnify the other against losses, damages, or liabilities resulting from breaches or misconduct.
12. GOVERNING LAW
This Agreement is governed by the laws of India. Any dispute shall be resolved in the courts of Kolkata, West Bengal.
13. ENTIRE AGREEMENT
This Agreement contains the full understanding of the parties and supersedes any prior agreement or understanding.
